1. Introduction

Welcome to HiEd.ai ("we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of the HiEd.ai platform, including our website at www.hied.ai and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Definitions

• "Platform" means the HiEd.ai website and all associated applications and services.
• "User" means any individual who accesses or uses the Service, including students, lecturers, and private learners.
• "Institution" means any educational establishment, university, college, or organisation that subscribes to the Service.
• "Content" means any text, audio, video, images, or other materials uploaded to or generated through the Service.
• "AI Tutor" or "Agent" means the artificial intelligence-powered conversational tutoring system.
• "Credits" means the prepaid time allowance for Private Learner accounts.

3. Account Registration

3.1 Eligibility

You must be at least 16 years of age to create an account. If you are under 18, you confirm that you have obtained parental or guardian consent to use the Service.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Use of the Service

4.1 Permitted Use

The Service is provided for educational purposes, including:

• Conversational learning and tutoring
• Assessment and examination practice
• Professional skills training
• Language learning and practice

4.2 Prohibited Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to harass, abuse, or harm others
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Use automated systems to access the Service without permission
• Share your account credentials with others
• Use the Service to generate content that violates third-party rights
• Attempt to reverse engineer or extract the AI models

5. Institutional Accounts

5.1 Lecturer Responsibilities

Lecturers using the Service on behalf of an Institution are responsible for:

• Creating appropriate AI agents for educational purposes
• Managing student access to their classes
• Ensuring uploaded materials do not infringe third-party rights
• Reviewing conversation transcripts in accordance with institutional policies

5.2 Student Responsibilities

Students using the Service through an Institution agree to:

• Use the Service in accordance with their Institution's acceptable use policies
• Participate in conversations honestly and in good faith
• Not share access links with unauthorised individuals

6. Private Learner Accounts

6.1 Free Trial

New Private Learner accounts receive 10 minutes of free tutoring time. This free trial is limited to one per person and may not be abused by creating multiple accounts.

6.2 Credits and Payments

After the free trial, continued use requires purchasing Credits. Credits are:

• Non-refundable once purchased
• Non-transferable between accounts
• Valid indefinitely (no expiry date)
• Deducted based on actual conversation time

6.3 Pricing

Current pricing is displayed on the Credits page. We reserve the right to change pricing at any time, but changes will not affect Credits already purchased.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of any content you upload to the Service (such as curriculum documents, study materials, and briefing files). By uploading content, you grant us a limited licence to use, store, and process that content solely for the purpose of providing the Service to you.

7.2 Generated Content

Conversation transcripts and AI-generated responses are provided for your personal educational use. You may use these for study, self-reflection, and assessment purposes.

7.3 Our Intellectual Property

The Service, including its design, features, and underlying technology, is owned by HigherEd-AI Ltd and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy and Security practices. Key points include:

• All data is processed in accordance with GDPR and UK data protection laws
• Data is stored on EU-based servers
• Conversation data is not used to train AI models
• You may request deletion of your data at any time

9. AI Disclaimer

The AI tutors provided through the Service are designed to assist with learning but have important limitations:

• AI responses may occasionally be inaccurate or incomplete
• The AI should not be relied upon as a sole source of information for critical decisions
• AI tutors do not replace qualified human teachers or professional advice
• For medical, legal, or other professional training, AI simulations are for educational practice only

Users should verify important information through authoritative sources and consult qualified professionals where appropriate.

10. Availability and Support

10.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10.2 Support

Support is available via email at info@hied.ai. We aim to respond to enquiries within 2 business days.

11. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" without warranties of any kind, either express or implied
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claims arising from these Terms shall not exceed the amount you have paid to us in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Termination

12.1 By You

You may stop using the Service at any time. To delete your account, contact us at info@hied.ai.

12.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe such action is necessary to protect the Service or other users.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Any unused Credits on Private Learner accounts are non-refundable. We may retain certain data as required by law or for legitimate business purposes.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Northern Ireland and the United Kingdom. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
